BYLAWS of LOCAL UNIONS HAVING TVA JURISDICTION of IBEW MEMBERS IBEW PANEL The purpose for which the IBEW Panel is organized, is for the promotion of the general welfare of the members of the Local Unions making up the IBEW Panel, who members are employed on TVA Property. Each Local Union is represented on the Panel by it's Business Manager or his designee. The Vice-President of the 10th District IBEW or his designee will serve as Chairman of the Panel and preside over all meetings. The Panel maintains various committees as deemed necessary and appropriate. ARTICLE I MEETINGS Section 1: The Panel shall meet not less than once a month in a location designated by the Chairman. Section 2: A Representative from at least 66% of the affiliated Local Unions of the Panel shall be required for a quorum at any meeting. Section 3: The meeting agenda will be set by the Chairman. Anyone desiring to place an item on the agenda shall inform the Chairman no later than 10 days prior to the meeting date. ARTICLE II OFFICERS - ELECTIONS - DUTIES Section 1: The Officers of the IBEW Panel shall consist of: Chairman Finance Officer Secretary Section 2: Nominations and election of the office of Secretary will be held every year at the first meeting of the Panel in January. Section 3: The Panel will decide by majority vote to add additional Officers. Section 4: Officers shall be elected from the Delegates of the affiliated Local Unions. Section 5: Election of Officers shall be by secret ballot, each Local Union shall be entitled to one vote cast by the attending Delegate. Section 6: No Delegate shall be nominated for office unless he or she is present or has signified his or her willingness in writing to the Secretary to be a candidate for an office. Section 7: The Chairman shall be the Vice President of the IBEW 10th District or his designee. Section 8: The Finance Officer will be the 10th District International Representative assigned to TVA representation. Section 9: The election of Officers shall be decided for the candidate receiving more than 50% of the votes cast. If none of the candidates receive more than 50% of the votes cast, there shall be a run-off election held between candidates receiving the majority of votes only. Section 10: Any Delegate elected to an office or appointed to a Committee for the Panel shall cease to serve in that position if replaced as a Delegate. Section 11: CHAIRMAN The Chairman shall be the Vice President of the IBEW 10th District or his Designee. The Chairman shall preside over all meetings of the panel, preserve order and enforce these Bylaws. The Chairman shall decide all questions of order. The Chairman shall have the deciding vote on the panel in the event of a tie. The Chairman shall appoint all Committees except those the Panel Delegates deem appropriate to elect. The, the chair shall preside over the election of such Committee members. The Chairman shall establish meeting dates, location, and notify the Delegates of such and do so in a timely manner. FINANCE OFFICER The finance Officer shall be the 10th District International Representative appointed to TVA Representation. The Finance Officer will receive all monies dedicated to the IBEW Panel and its business. He or she will deposit funds and keep proper records and receipts. He or she will disperse all funds by check co-signed by the individual designated by the Panel or these bylaws. He or she will provide the Delegates a financial statement each quarter. SECRETARY The Secretary shall keep correct and complete minute of each meeting of the Panel and shall send a copy of same to each Delegate. He or she shall read all documents and correspondence at the meetings. ARTICLE III FUNDS Section 1: The Finance Officer will receive all funds of the Panel and deposit such funds in an insured Bank. Section 2: The per-capita assessment for the purpose of financing the TVA Council will be determined by the Vice-President of the 10th District IBEW. The payment of such assessment will be sent to the Finance Officer no later than the 15th day of the third month of each calendar quarter when due. Section 3: The assessment will be a per-capita assessment based on the latest membership check list results for those two quarters for each affiliated Local Union that were employed by the TVA at any time during the affected quarters. Section 4: All funds will be dispersed in accordance with these bylaws and applicable amendments. ARTICLE IV COMMITTEES Section 1: The Wage Data Committee will be elected. The Committee will consist of a President and 3 members. The President and the members shall serve terms at the discretion of the Panel. Section 2: Any member of a Committee ceases to be a member of said committee if they cease to be a Delegate to the IBEW Panel. ARTICLE V AMENDMENTS Section 1: These bylaws shall become effective upon approval of the IBEW Panel. Section 2: Proposed amendments to these bylaws must be submitted to the Chairman in writing. T hese amendments shall be read to the Panel at 'a regular meeting by the Secretary and if approved by a majority of the quorum, shall become part of these bylaws.
